Prominent Corporate Lawyer David Mainzer Joins Ballard Spahr in L.A.

David E. Mainzer, an accomplished corporate lawyer with more than 25 years of experience in-house and in private practice, has joined Ballard Spahr as a partner in the firm’s Los Angeles office, firm Chair Mark Stewart announced.

Mr. Mainzer represents a wide variety of private funds and other pooled investment vehicles, as well as investment managers, wealth managers, broker-dealers, commodity pool operators, and other firms in the investment management industry, advising on corporate, securities, tax, and related regulatory and business issues. He frequently serves as outside general counsel for clients, handling an array of domestic and offshore corporate, transactional, and compliance matters.

“David is a tremendous addition to our capabilities in the West, and the firm provides him with the ideal platform to expand the services he can offer his clients,” Mr. Stewart said. “It’s a great fit, and supports our focus on strategic growth of transactional capabilities coast-to-coast.”

Mr. Mainzer is an authority on federal and state laws that regulate the investment management industry and the sale and purchase of securities and investment-related businesses, including the Investment Company Act of 1940 and the Investment Advisers Act of 1940. Mr. Mainzer will be a member of the firm’s Business and Transactions Department and its Investment Management and Securities and Capital Markets groups.

“David is just the right 40 Act lawyer to complement our team,” said Ballard Spahr Chair-Elect Peter V. Michaud, who leads the Business and Transactions Department. “He’s smart, committed, and laser-focused on client success.”

With a focus on forming funds and offering interests in funds, and assisting fund managers with portfolio investments, Mr. Mainzer advises on M&A, succession, and other securities and investment transactions. Prior to joining Ballard Spahr, Mr. Mainzer was a partner at Cohen/Mainzer, a boutique firm focused on the investment management industry. Earlier in his career, he worked for more than five years in-house at an international investment advisory firm as general counsel, chief financial officer, and chief operating officer. Mr. Mainzer is a veteran of the U.S. Army.

Mr. Mainzer is the latest in a series of high-level additions to Ballard Spahr’s Business and Transactions Department this year, including Sharon Shachar, Brian A. Turetsky, Michael Gordon, Michael R. Guerrero, Lisa M. Lanham, Rinaldo Martinez, and a four-lawyer Private Client Services Group—Justin H. Brown, Justin C. Esposito, Mark S. Blaskey, and Brittany A. Yodis.
